This deed made this 7th day of August, 1958, between CHARLIE B. MARTIN, widower, 
party of the first part, and STEVE J. SMITH, party of the second part;

                               W I T N E S S E T H

     That for and in consideration of the sum of ONE THOUSAND THREE HUNDRED 
SIXTY FIVE ($1365.00) DOLLARS, cash in hand paid the receipt of which is hereby 
acknowledged, the same party of the first part does hereby bargain, sell, grant, 
and convey unto the said party of the second part, in fee simple with covenants 
of general warranty of title, all of those five (5) certain tracts or parcels of 
land, and appurtenances thereunto belonging, lying, and being in Smith River 
Magisterial District of Patrick County, Virginia, and described as follows:

     TRACT ONE:  Containing 7 1/2 acres, more or less, and being in all respects 
the same tract or parcel of land that was conveyed to Charlie B. Martin, of the 
first part hereto, from Peter Martin by deed bearing date of May 19, 1922, and 
of record in the Clerk's Office of the Circuit Court of Patrick County, 
Virginia, in Deed Book 93, at pages 447 and 448.

     TRACT TWO:  Containing 42 1/2 acres, more or less, and being in all 
respects the same tract or parcel of land that was conveyed to C.B. Martin from 
James Hopkins et ux, by deed bearing date of October 11, 1919, and of record in 
the aforesaid Clerk's Office in Deed Book 46, at page 350.

     THERE IS EXPRESSLY EXCEPTED HEREFROM, AND NOT CONVEYED HEREIN, A TRACT OF 
LAND CONTAINING 1.7 ACRES, MORE OR LESS, THAT WAS HERETOFORE CONVEYED BY THE 
GRANTOR HEREIN TO THE UNITED STATES GOVERNMENT BY A DEED OF RECORD IN THE 
AFORESAID CLERK'S OFFICE IN DEED BOOK 96, AT PAGE 69.

     TRACT THREE:  Containing 3 acres more of less, and being in all respects 
the same tract of parcel of land that was conveyed to the grantor herein by deed 
bearing date of October 3, 1914, from Margaret Bryant, which deed is of record 
in the aforesaid Clerk's Office in Deed Book 42, at page 96.

     TRACT FOUR:  Containing 5 acres, more or less, and being in all respects 
the same tract or parcel of land that was conveyed to C.B. Martin, of the first 
part hereto from W.A. Via et ux, by deed bearing date of October 1, 1912, and of 
record in the aforesaid Clerk's Office in Deed Book 40, at pages 124 and 125.

     TRACT FIVE:  Containing 78 1/2 acres, more or less, and being in all 
respects the same tract or parcel of land that was conveyed to Charlie B. 
Martin, of the first part hereto, from Solomon G. Via et ux, by deed bearing 
date of February 1, 1924, and of record in the aforesaid Clerk's Office in Deed 
Book 55, at pages 159 and 160.

     Express reference is here made to each of the aforementioned deeds for a 
further and more accurate description of the five tracts of land herein conveyed 
to the same extent as if each of said deed were copied verbatim herein.  

     The grantor herein expressly reserves for himself, his heirs and assigns 
the right to the use of the existing spring located on "TRACT ONE" herein 
conveyed, together with all necessary rights of ingress and egress thereto.

     The said party of the first part covenants that he has the right to convey 
said land to the grantee; that he has done no act to encumber said land' that 
the grantee shall have quiet and peaceable possession of said land free from all 
encumbrances; and that he, the said party of the first part, will executive such 
further assurances of said land as may be requisite.

STATE OF VIRGINIA, COUNTY OF PATRICK, to-wit:

  I. Lawrence R. Burton, a Commission in Chancery in and for the Circuit Court 
of Patrick County, Virginia, do hereby certify that Charlie B. Martin, whose 
name is signed to the foregoing deed of conveyance bearing date on the 7th day 
of August, 1958, has personally appeared before me in my County aforesaid and 
acknowledged the execution thereof.

  Given under my hand on this the 7th day of August, 1958.

VIRGINIA--Patrick County, To-Wit:

      In the clerk's office of Patrick Circuit Court, the 7th day of August 
1958, this deed was presented and with the certificate annexed, admitted to
