             Last Will and Testament
  
      I, ESTHER WARNE, of the Borough of Carmichaels, Greene County,
  Pennsylvania, being of sound mind and memory, do hereby make, publish and
  declare this to be my Last Will and Testament, in manner and form
  following, hereby revoking any will or wills heretofore made by me.
      FIRST: I direct that all my just debts and funeral expenses be fully
  paid
  and satisfied, as soon as conveniently may be, after my decease.
  I further direct that my Executrix shall make all provisions for my
  interment
  in my plot at Glades Cemetery and to have the inscription completed on
  the
  existing headstone.
      SECOND:  I hereby direct and authorize my Executrix, hereinafter
  named, to sell all of my real estate and all of my tangible personal
  property, of which I shall die seized or possessed, on such terms, in
  such a way and manner as may be deemed wise, as soon as conveniently may
  be done after my death, to make good deeds therefore, and to convey the
  same to the purchaser or purchasers thereof without any obligation on the
  latter to see or be responsible for the application of the purchase
  money.
      THIRD:  All of my estate, after having been converted to cash as
  specified in paragraph second, above, I give and bequeath as follows:
  
      One-seventh (1/7) to my niece, LOUISE B. KERR,
      One-seventh (1/7) to my niece, JANE B. WALCHOCK,
      One-seventh )1/7) to my niece, BARBARA J. WHITSEL,
      One-seventh (1/7) to my niece, JOAN J. BETTS,
      One-seventh (1/7) to my niece, NANCY W. STONER,
      One-seventh (1/7) to JAMES L. CHRISTOPHER,
      One-seventh (1/7) to DEBORAH G. RITCHEY.
      Provided, however, that in the event any of the above named legatees
  should predecease me, then the share of the said legatee shall be
  distributed
  equally to the remaining above named legatees, me surviving.
      FOURTH: I hereby direct that my Executrix, hereinafter named. shall
  not be required to furnish bond in this, or in any other jurisdiction.
      FIFTH: I do hereby make, constitute and appoint my niece, NANCY W.
  STONER, to be my Executrix of this my Last Will and Testament.
      IN WITNESS WHEREOF, I, ESTHER WARNE, the Testatrix above named, have
  hereunto subscribed my name and affixed my seal the 17th day of October,
  1994.

      Signed, sealed, published and declared by the above named Testatrix,
  ESTHER WARNE, as and for her Last Will and Testament, in the presence of
  us, who have hereunto subscribed our names at her request as witnesses
  thereunto, in the presence of said testatrix and of each other.

      I, ESTHER WARNE,  testatrix whose name is signed to the attached or
  foregoing instrument, having been duly qualified according to law, do
  hereby acknowledge that I signed and executed the instrument as my last
  Will; and that I signed it willingly and as my free and voluntary act for
  the purposes therein expressed,
      SWORN TO or affirmed and acknowledged before me by ESTHER WARNE, the
  testatrix, this 17th day of October, 1994.

  COMMONWEALTH OF PENNSYLVANIA
  COUNTY OF GREENE
  
      We, William E. Baily and Mary E. Baily, the witnesses whose names are
  signed to the attached or foregoing instrument, being duly qualified
  according to law, do depose and say that we were present and saw the
  testatrix sign and execute the instrument as her Last Will; that the
  testarix signed willingly and executed it as her free and voluntary act
  for the purposes therein expressed; that each subscribing witness in the
  hearing and the sight of the testatrix signed the will as a witness; and
  that to the best of our knowledge the testatrix was at that time 18 or
  more years of age, of sound mind and under no constraint or undue
  influence.
  
      SWORN TO or affirmed and subscribed to before me by William M. Baily
  and Mary E. Baily, witnesses, this 17th day of October, 1994.
